switchgeardeals (the "Site", at switchgeardeals.com) is managed by SKYLIGHTS ENERGY ("Skylights Energy", "we", "our" or "us") for VendorStocks, the B2B and B2C marketplace for electrical switchgear and components that Skylights Energy operates. The Site exists for two purposes:

• Backlinking. The Site links to vendorstocks.com so that buyers looking for switchgear can find the marketplace, and so that VendorStocks pages are easier to discover in search.
• Informational content. Device descriptions, rating ranges, brand listings and FAQs give general information about switchgear and about how buying on VendorStocks works.

In practice, that means:

• The Site is not a marketplace, store or seller. It does not sell products, hold stock, take orders, accept payments, issue quotations or invoices, or create accounts.
• Listings, prices, sellers, RFQs, orders, invoices and payments are all on vendorstocks.com, under the VendorStocks terms and policies.
• Skylights Energy maintains the Site's content, links and legal pages for VendorStocks, and is responsible for them.

These Terms & Conditions ("Terms") govern your access to and use of the Site. By visiting or using the Site, you agree to be bound by these Terms and by the Privacy Policy and Security Policy published on the Site. If you do not agree, please do not use the Site.

Your use of vendorstocks.com itself, including creating an account, raising RFQs, placing orders or listing stock, is governed separately by the VendorStocks Terms & Conditions. If these Terms and the VendorStocks terms ever differ on a marketplace matter, the VendorStocks terms apply.

The Site gives general information about low-voltage switchgear and about buying it on VendorStocks. It:

• Describes device families, including MCBs, RCCBs, MCCBs, ACBs, contactors, overload relays, protection relays and current transformers, with typical rating ranges
• Shows brands that have listings on VendorStocks, with links to their marketplace pages
• Explains how searching, comparing seller prices, raising an RFQ and ordering with a GST invoice work on VendorStocks
• Links to a live-demo booking calendar and a WhatsApp chat with the VendorStocks team

Rating ranges, descriptions, photos and brand captions are indicative. They may not match what is listed or in stock at a given moment. Always confirm specifications, catalogue numbers, certifications, prices and availability on the product page on VendorStocks, or with the seller, before you buy.

Nothing on the Site is engineering, electrical safety, legal or financial advice. Switchgear should be selected and installed by a qualified person, in line with applicable Indian standards (BIS, ISI marks and IS specifications) and regulations.

The Site is not a party to any transaction

The Site only points you to VendorStocks. When you follow a link, you leave the Site, and your use of vendorstocks.com is governed by the VendorStocks terms and policies. No contract for the sale or purchase of goods is formed on the Site.

VendorStocks is a technology platform

VendorStocks is an intermediary technology platform as defined under the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. It connects independent buyers and sellers. When a buyer accepts a quotation or issues a purchase order and a seller fulfils it, the contract is directly between the buyer and the seller.

No endorsement

Seller verification on VendorStocks is a baseline document check. It shows that documents have been received and reviewed; it is not a guarantee, endorsement or warranty of a seller's products, financial standing or conduct. The Site likewise does not endorse any seller, product or brand. Please do your own due diligence before you transact.

Our content

The Site's text, design, layout, schematic symbols and illustrations are owned by Skylights Energy or its licensors. The VendorStocks name and logos are owned by VendorStocks and its licensors. These Terms do not give you any right to use them.

Third-party brands

ABB, Lauritz Knudsen, Trinity, DEGSON, C&S Electric and any other brand names or logos on the Site are trademarks of their respective owners. They appear only to identify products listed on VendorStocks. Their appearance does not mean that any brand owner endorses, sponsors or is affiliated with the Site, VendorStocks or Skylights Energy.

Product photos

Device photos illustrate a type of device. They are not an offer, and the product you buy may differ in brand, rating or appearance.

What you may do

You may view, print and share pages of the Site for personal or internal business use, and you are welcome to link to it. You may not copy, republish, mirror or frame the Site's content, or use the VendorStocks name or logos, without our written permission.

Infringement notices

If you believe content on the Site infringes your rights, write to support@skylightsenergy.in with the details. We review credible notices and remove infringing content where appropriate.

The Site links to:

• vendorstocks.com: the marketplace, operated by Skylights Energy under its own terms and policies
• Google Calendar: the booking page for live demos, a third-party service run by Google
• WhatsApp: the chat with the VendorStocks team, a third-party service run by WhatsApp

These links open in a new tab. Google Calendar and WhatsApp are governed by their providers' own terms and privacy policies, and we are not responsible for their content, availability or practices.

Some links to VendorStocks carry referral tags (UTM parameters) that tell VendorStocks a visit came from the Site. The Privacy Policy on the Site explains what they contain.

You agree to use the Site only for lawful purposes. You must not:

• Attempt to gain unauthorised access to the Site, its hosting or any connected system
• Upload or transmit malicious code, or probe, scan or load-test the Site in a way that disrupts, overburdens or impairs it
• Scrape, copy or republish the Site's content in bulk, or mirror or frame the Site, without our written permission
• Present the Site, or a copy of it, as a store, seller or source of stock
• Use the Site's content, the VendorStocks name or brand logos to suggest an endorsement or connection that does not exist
• Use the Site to send spam, or misrepresent your identity or business to the VendorStocks team

We may block access to the Site for anyone who breaches these rules, and may report serious violations to law enforcement.

The Site is provided "as is" and "as available", without warranties of any kind, express or implied. To the fullest extent permitted by law, Skylights Energy disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that:

• The Site will be uninterrupted, error-free or completely secure
• Information on the Site, including rating ranges, descriptions and brand captions, is complete, current or accurate at all times
• Any brand, product or seller shown will be available on VendorStocks when you visit
• Any product or seller on VendorStocks will meet your requirements or fulfil their obligations

To the maximum extent permitted by applicable law, Skylights Energy shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data, goodwill or business opportunities, arising out of or in connection with the Site or your reliance on its content, even if advised of the possibility of such damages.

The Site is free to use. Our total aggregate liability for any claim relating to the Site shall not exceed INR 5,000. Transactions on VendorStocks are covered by the VendorStocks terms, not by these Terms.

This limitation does not apply to liability arising from:

• Gross negligence or wilful misconduct
• Fraud
• Statutory rights under the Consumer Protection Act, 2019 that cannot be waived
• Any other liability that cannot be excluded under applicable law

You agree to indemnify, defend and hold harmless Skylights Energy and VendorStocks, and their officers, directors, employees and agents, from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Site
• Your violation of these Terms or of applicable law
• Your infringement of any third-party rights, including intellectual property and privacy rights

We may update, change or remove any content, link or page on the Site at any time, with or without notice. We may also update these Terms from time to time; the "Last updated" date at the top of this page shows when they last changed. Your continued use of the Site after a change means you accept the updated Terms.

These Terms are governed by the laws of India, without regard to conflict of laws principles.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If it is not resolved within 30 days, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with proceedings:

• Conducted by a sole arbitrator mutually appointed by the parties
• Conducted in English
• Seated in Bengaluru, Karnataka, India

Subject to the arbitration clause above, the courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction.

In line with the Information Technology Act, 2000 and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Grievance Officer for the Site and for VendorStocks can be reached at support@skylightsenergy.in. Complaints are acknowledged within 24 hours and resolved within 15 days of receipt.

• Entire agreement: These Terms, together with the Privacy Policy and Security Policy on the Site, are the entire agreement between you and Skylights Energy about the Site.
• Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any right does not waive that right.
• Relationship: Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between you and Skylights Energy or VendorStocks.
• Notices: Notices to us must be sent to support@skylightsenergy.in.
• Language: These Terms are written in English. Any translation is for convenience only, and the English version controls.
